Effective Date: 2 September 2026

1.1. Purpose of the Agreement

This "Chow Tai Fook Global Membership Activation and Service Agreement" (hereinafter referred to as "this Agreement") aims to clarify all rights, obligations, service rules, and legal consequences involved when you (hereinafter referred to as "Member" or "You") apply to activate "Chow Tai Fook Global Membership" (hereinafter referred to as "Global Membership"). Global Membership is an upgrade service that associates your membership in multiple regions and provides cross-regional consumption accumulation and unified tier evaluation.

1.2. Important reminder

1.2.1. Please read this agreement carefully and completely before clicking "Agree and Activate”. By clicking “Confirm”, you fully understand, accept, and agree to be bound by this Agreement and all documents incorporated herein by reference.

1.2.2. Core function: After activation, your qualifying spend within the associated region will be accumulated across regions for dynamic evaluation of a unique and globally unified membership tier. Your tier will increase or decrease in real-time based on the cumulative qualifying spend of all associated regions.

1.2.3. Points management remains unchanged: Activating a Global Membership does not affect the independence and usage rules of points in your accounts in various regions. Points still follow the principles of localized earning, localized redemption, and non-transferable across regions.

1.2.4. Cross-border data transfer: In order to achieve cross-regional consumption accumulation and unified evaluation, your relevant consumption data will undergo necessary cross-border processing within the Chow Tai Fook Group. This processing requires your explicit authorization, as detailed in Section 5 of this Agreement. Unless you explicitly agree, we will not separately process your consumption information across borders based on this Agreement.

1.2.5. Irrevocability: Except as otherwise required by applicable law, once the Global Membership is successfully activated, the binding relationship of member accounts in various regions authorized by you becomes long-term and irrevocable. You cannot unbind this relationship on your own or through regular customer service channels. If you need to terminate your membership, it can only be achieved through termination of membership.

2.1. Management of the Local Programme:

The Chow Tai Fook member accounts you have in various countries/regions are all part of the independently operated member programmes in that region (hereinafter referred to as the "Local Programme"). Each Local Programme is independently managed and operated by Chow Tai Fook Jewellery Group Limited and/or its subsidiaries or affiliates (hereinafter referred to as the "Relevant Chow Tai Fook Entity") specified in its specific terms and conditions (hereinafter referred to as the "Local Programme Terms and Conditions"), and is bound by the Local Programme Terms and Conditions.

2.2. Agreement Composition and Responsibility Subject:

This Agreement, together with the applicable Local Programme Terms and Conditions, constitutes the complete agreement between you and all Relevant Chow Tai Fook Entity with respect to your Global Membership Services. Relevant Chow Tai Fook Entity (rather than other entities of the Chow Tai Fook Group) are responsible for handling all related matters and resolving disputes related to the Local Programme operated by them. Please carefully read and comply with all applicable terms before activation of Global Membership and during the subsequent use of the service.

In this Agreement, unless the context otherwise requires, the following terms have the following meanings:

3.1. “Local Account”: refers to a Chow Tai Fook member account registered separately by a member in a specific country/region, and each account is subject to the Local Programme Terms and Conditions.

3.2. “Activate Global Membership”: refers to the process in which a member applies to permanently associate their eligible Local Account to activate cross regional consumption accumulation and unified tier evaluation services.

3.3. “Global Membership Tier”: refers to the globally unified membership tier dynamically assessed based on cross regional cumulative consumption after activation.

3.4. "Global Membership Qualifying Spend": refers to the amount generated by a member in compliant transactions within the associated area that can be used for evaluating the tier of global membership, hereinafter referred to as Global QS. The specific definition, calculation, and conversion rules for Global QS in various market currencies shall be subject to Annex 1 "Chow Tai Fook Global Membership Evaluation and Management Rules" (hereinafter referred to as "Evaluation and Management Rules").

3.5. “Evaluation Cycle": refers to a continuous rolling 12-month period used to evaluate the Global Membership tier.

3.6. “Main Registration Location”: refers to the market affiliation of the front-end system (including but not limited to a mobile application or website) used by a member when activating the Global Membership.

4.1. Unified assessment of membership tier: Your "Global Membership tier" will be dynamically determined based on your "Global QS" during the assessment cycle, in accordance with the thresholds for each tier published in the "Evaluation and Management Rules".

4.2. The localized management of points remains unchanged.Due to objective reasons such as economic, legal, and regulatory limitations between different countries/regions:

4.2.1. The points earned in each Local Account can only be used to redeem products/services provided by (or through) the Relevant Chow Tai Fook Entity operating the Local Programme;

4.2.2. The points earned by a member under the Local Programme (i.e., the Chow Tai Fook membership plan in Hong Kong and Macau) of the Relevant Chow Tai Fook Entity (e.g., the Chow Tai Fook Hong Kong) cannot be transferred to or used in the Local Programme registered by the member in another region (e.g., the Chow Tai Fook membership plan in mainland China);

4.2.3. Regardless of the location of the member, the points distributed by each Chow Tai Fook entity for their Local Programme will only be saved in the Local Account provided by the relevant Chow Tai Fook entity.

5.1. Authorization Content

In order to fulfill the Global Membership service under this Agreement, you understand and agree that it is necessary for Chow Tai Fook Group to transmit, summarize, and process your personal information across countries/regions:

5.1.1. Your membership identity information (name, membership number, etc.);

5.1.2. Your consumption transaction records in the associated area (necessary information for calculating "qualifying spend" such as time, amount, and product category);

5.1.3. Your Global Membership tier information.

5.2. Authorization Method

According to the applicable laws in your main registration location, we obtain your authorization in the following methods:

5.2.1. Separate consent: If required by the applicable laws in the main registration location (such as the Personal Information Protection Law of the People's Republic of China), clicking to agree to the "Chow Tai Fook Platform Personal Information Cross-border Statement" is a prerequisite for the effectiveness of this Agreement and data processing.

5.2.2. Unified authorization: In other regions, your consent to the " Global Personal Information Collection Statement " and this Agreement includes authorization for cross-border data processing.

5.3. Authorization consequences: If you do not agree to authorize according to the local requirements, you will not be able to enjoy Global Membership service.

5.4. You confirm and agree that the authorization for cross-border processing of personal information granted in this Agreement and 5.2 Authorization Method, will apply to the following:(1) markets that have joined the Global Membership programme: Mainland China, Hong Kong and Macau, and (2) markets that are about to join the Global Membership programme in the short term: Malaysia, Taiwan, Singapore, and (3) potential new markets in the future (Australia, Canada, United Arab Emirates, Qatar, Philippines).

If any country or region subsequently joins the Global Membership programme, we will take necessary protective measures in accordance with applicable laws and regulations, including but not limited to implementing appropriate data protection mechanisms, concluding data transfer agreements, conducting relevant risk assessments, and providing you with additional notice and/or obtaining your separate consent if required by law, to ensure that your personal information receives a level of protection comparable to applicable legal requirements.

6.1. Duty to Provide Accurate Information

You warrant that all account information provided for the activation of Global Membership is true, accurate and relates to you personally. You will be responsible for any failure to activate Global Membership or any subsequent dispute arising from inaccurate information provided by you.

6.2. Understanding and Acceptance of Service Features

6.2.1. You acknowledge that you have fully understood and accepted the following core feature of the Global Membership service:

6.2.2. Permanent change to the membership-tier calculation method:
The calculation of your membership tier will permanently change from a single-region basis to an aggregated multi-region basis. Except upon termination of the memberships, the calculation method cannot be reverted to a single-region basis at your request.

7.1. Termination by the Member

7.1.1. Except where applicable law provides members with a right of withdrawal/termination, a member

7.1.2. Termination of integrated membershipsYou acknowledge and agree that, following the successful activation of Global Membership, your membership under the Local Programme and your Global Membership constitute an indivisible whole. Accordingly, if you apply to terminate your membership under any Local Programme in accordance with the applicable Local Member Programme Terms and Conditions, that application will automatically be deemed to constitute an application to terminate all other linked Local Programme memberships and your Global Membership. Chow Tai Fook will process the termination of all such memberships on a consolidated basis.

7.1.3. Processing Period for Membership Termination:Following the successful submission of your membership termination request, Chow Tai Fook will complete the termination procedures for all your memberships within thirty (30) business days. Upon completion of the termination procedures, all points, benefits and privileges in all your accounts will be cancelled and become null and void with immediate effect, and Chow Tai Fook will not be required to provide any compensation or refund.
The foregoing thirty (30)-business-day period will commence on the date on which Chow Tai Fook confirms receipt of your complete and valid membership termination request. If your application documents are incomplete or further identity verification is required, Chow Tai Fook may suspend the processing of your request and notify you to provide the required supplemental information or documents. The period during which such supplemental information or documents are being provided will not count towards the foregoing thirty (30)-business-day period.

7.2. Chow Tai Fook's Right to Terminate Membership

If any of the following circumstances occurs, including without limitation,, Chow Tai Fook may, in its sole discretion, immediately suspend or terminate your memberships, including all Local Programme memberships and your Global Membership:

(1) You hold more than one membership or account in the same country or region;

(2) You transfer, lend or sell any membership, account or points in any form;

(3) You violate any applicable local law or regulation;

(4) You engage in any fraudulent activity, arbitrage or other conduct contrary to the principle of good faith;

(5) you fail to comply with this Agreement or the Chow Tai Fook membership programme, as amended from time to time; or

(6) Chow Tai Fook reasonably considers that your conduct has caused economic loss or reputational damage to the brand.Chow Tai Fook reserves the right to take legal action against you in respect of any of the foregoing circumstances.

7.3. General Consequences of Membership Termination

7.3.1. Termination for Reasons Attributable to the Member: If your memberships are terminated at your request pursuant to Clauses 7.1.2 and 7.1.3, or as a result of any of the circumstances specified in Clause 7.2, all unused points and other unredeemed membership benefits and privileges will automatically be forfeited. Chow Tai Fook will not be required to provide any compensation or refund.

7.3.2. Termination upon Death: Upon the death of a member, all memberships held by that member, including the Global Membership and all Local Programme memberships, will automatically terminate.

7.3.3. Changes to or Termination of the Programme: Chow Tai Fook may, upon thirty (30) days’ prior notice, suspend, modify or terminate the Global Membership service or the entire membership programme. In such circumstances, Chow Tai Fook will provide a reasonable period for members to use or otherwise deal with their existing membership benefits and privileges.

7.3.4. No warranty: To the maximum extent permitted by law, Chow Tai Fook makes no warranty or representation as to the availability, duration or continuity of the membership programme or the specific benefits and privileges available thereunder, and reserves the right to make adjustments from time to time.

7.4. Relationship with Other Termination Provisions

This section applies concurrently with the provisions governing membership termination under each applicable set of Local Programme Terms and Conditions. In relation to the manner in which memberships may be terminated following the activation of Global Membership and the integrated consequences of such termination, particularly those specified in Clause 7.1.2, this Agreement will prevail.

8.1. Amendments

Chow Tai Fook may amend, supplement or otherwise revise this Agreement from time to time in response to changes in applicable laws and regulations or business needs. The revised Agreement will be published on Chow Tai Fook’s official applications or website and will specify its effective date. If any amendment materially diminishes your existing rights, benefits or privileges, Chow Tai Fook will notify you through an appropriate channel.

8.2. Governing Law and Jurisdiction; Dispute Resolution

This Agreement shall be governed by the laws of Hong Kong. Any dispute arising out of or relating to the interpretation or performance of this Agreement will first be resolved through amicable consultation between the parties. If the dispute cannot be resolved through consultation, either party shall have the right to submit the dispute to the Hong Kong courts having exclusive jurisdiction for resolution through litigation.

For members who hold Chinese nationality and whose habitual residence is in Mainland China, this Agreement shall be governed by the laws of the People’s Republic of China. The parties hereby irrevocably submit to the exclusive jurisdiction of the People’s Courts of the People’s Republic of China. Any dispute arising from the interpretation or performance of this Agreement shall first be resolved through friendly consultation between the parties. If such consultation fails, either party shall have the right to bring legal proceedings before the People’s Court with exclusive jurisdiction in accordance with the laws of the People’s Republic of China.

8.3. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the validity and enforceability of the remaining provisions will not be affected.

8.4. Language

VersionIn the event of any discrepancy between the Chinese and English versions of this Agreement, the Chinese version shall prevail.

1. General Provisions and Membership Period

1.1. The following membership tiers are established under the programme, in descending order: Black, Diamond, Platinum, Gold, Silver, Red and Friend. 

1.2. Membership Validity Period: Except for Friend Membership and Black Membership, Red, Silver, Gold, Platinum and Diamond will, as applicable, take effect on the date on which the application is approved by Chow Tai Fook or the membership tier changes (based on Chow Tai Fook’s records), and will remain valid for one year until the last day of the corresponding month in the following year

2. Membership Tier Criteria

2.1. The upgrades, renewals, and downgrades for each membership tier shall be based on their "Global QS accumulated during the membership period", as follows:

2.2. Upgrade: Once a member’s Global QS reaches or exceeds the threshold for a higher tier, the membership will be upgraded automatically. The one-year membership period will be recalculated from the date of upgrade and will expire on the last day of the corresponding month in the following year.
Renewal: If, before expiry of the membership period, the member’s Global QS reaches the specified renewal threshold for the applicable tier, the membership will automatically be renewed for one year from the expiry date of the current membership period.
Demotion: If, before expiry of the applicable membership period, a member fails to satisfy the conditions for an upgrade or renewal, the membership will automatically be downgraded upon expiry. For the avoidance of doubt, for example, if a member with Platinum membership who is downgraded, will be downgraded to Gold membership. A member with Red membership who is downgraded, will become a Friend member. The Friend membership is not subject to be downgraded.

2.3. A change in tier (upgrade, renewal or downgrade), shall take effect when confirmed by system, and the membership period will be updated accordingly. 

3. Example of Membership Status

For the avoidance of doubt, here are some examples to illustrate:

• Example 1 (Upgrade):
  A Gold member has transaction amounts during the preceding 12 months that are convertible into 100,000 Global QS. As the upgrade threshold for Platinum membership has been reached, the membership will be upgraded to Platinum automatically in real time.
• Example 2 (Renewal):
  A Platinum member has transaction amounts during the preceding 12 months that are convertible into 50,000 Global QS. As the amount exceeds the renewal threshold for Platinum membership but is below the upgrade threshold for Diamond membership, the Platinum membership will be remained.
• Example 3 (Downgrade):
  A Platinum member has transaction amounts during the preceding 12 months that are convertible into 28,000 Global QS. As the amount is below the renewal threshold for Platinum membership, the membership will be downgraded to Gold membership.

4. Global QS Calculation and Conversion Rules

4.1. Unified unit of account: The Global QS is the sole unit of account used to determine Global Membership tiers.

4.2. Conversion of Local Consumption Amount: The local currency "qualifying spend" generated by members in each location must be converted into "Global QS" in according with the applicable “Local Programme Terms and Conditions" before the Global Membership tier is determined. Members can enjoy the membership benefits and privilege provided under the "Local Programme Terms and Conditions" of each location accordingly. The specific exchange rate, conversion date and operational rules will be separately specified in the "Local Programme Terms and Conditions" of each location. Members should refer to the “Local Programme Terms and Conditions" applicable at the place of purchase. 

4.3. Global QS conversion rules are the sole calculation basis for membership tiers. If members have any questions regarding conversion, the member should first inquire about the applicable "Local Programme Terms and Conditions" or contact local customer service.

5. Notice on Activating Global Membership for Existing Local Members

If a member has previously registered membership accounts in one or more Chow Tai Fook local markets, upon activation of Global Membership, the highest tier of membership among the member’s local memberships will be adopted as the final tier. The relevant adjustments will be handled in the manner most favorable to the member. The highest qualifying spend among the locations will be adopted as the Global QS, and the latest expiry date among the local memberships will be adopted as the Global Membership expiry date.

5.1. If a member holds membership in only one market, after activation of the Global Membership, the original market membership and validity period, as well as the accumulated qualifying spend, will be directly converted into the Global QS on an equal-value basis .

5.2. If a member holds memberships in two markets when activating Global Membership, the higher membership tier and the higher qualifying spend of the two markets will be adopted as their Global Membership Tier and Global QS, and the later expiry date of the two memberships will be adopted as the Global Membership expiry date.

6. Amendments

Chow Tai Fook reserves the right to update this “Chow Tai Fook Global Membership Evaluation and Management Rules” to the extent permitted by applicable law, including but not limited to adjusting the threshold of membership tier. Any amendments will be notified in accordance with Section 8 of the “Chow Tai Fook Global Membership Activation and Service Agreement”.
